Acceptance of Terms:

By visiting the Website or using the Services in any capacity, you hereby agree to be bound by these Terms of Use (“TOU”) without any reservations, modifications, additions or deletions. If you disagree with any provisions contained in the TOU, you are not authorized to use the Services. The TOU are a legal and binding agreement between you and us.

Representations for Legal Entities:

If you are using the Services on behalf of a company, association or other legal entity (a “Legal Entity”), you affirm that you have the authority to bind that Legal Entity to these TOU. In such instances, "you" and "your" will refer to and apply to that Legal Entity.

Ownership and Operation:

The Website and Services are owned and operated by Hookdeck Technologies Inc., a Canadian corporation based in Montreal, Canada at the address provided below. References to “Hookdeck” may denote Hookdeck Technologies Inc. and/or its affiliates, along with their respective shareholders, officers, directors, employees, agents, partners, principals, representatives, successors and assigns (collectively “Representatives”), depending on the context. Any mention of “we”, “our”, or “us” in these TOU shall also refer to Hookdeck and/or its Representatives.

User Classification:

Throughout these TOU, a Website visitor or Services user may be denoted as “you” or “your”. A Website visitor with an account is referred to as a “User”. When a User is logged in, they are termed a “Logged-In User”.

Modification of TOU:

Hookdeck reserves the right, without prior notice, to modify or replace any part of the TOU. Any changes can be reviewed at this URL. It is your responsibility to check the TOU for changes. Your use of the Services following any changes constitutes acceptance of the revised terms. In the event of substantial changes materially affecting your legal relationship with Hookdeck, we will use commercially reasonable efforts to notify you through a prominent notice on the Website during your first use of the Services following those changes.

Definitions and Privacy Policy:

Additional definitions identified by capitalization, bolding, and quotation marks will be introduced throughout these TOU. 3. General Code of Conduct for Use of the Services

In addition to the more specific rules found elsewhere in these TOU, your interaction with the Services, implies you agree to:

3.1 Compliance with Terms:

Not violate these TOU or any other applicable policy posted on or in the Services by Hookdeck in any manner.

3.2 Intellectual Property Rights:

Not infringe upon the intellectual property rights of Hookdeck or any third party while using the Services.

3.3 Spam and Malicious Activities:

Not engage in spam activities, including unsolicited advertising or bulk electronic mail, or propagate software viruses, Trojan horses, worms, or any other malicious or non-malicious code that disrupts, damages, limits, or interferes with the proper function of any software, hardware, or telecommunications equipment. This includes any actions intended to damage or obtain unauthorized access to systems, data, passwords, or other information belonging to Hookdeck, Services users, or any other third party.

3.4 Infrastructure and Service Integrity:

Not take actions that unreasonably or disproportionately burden Hookdeck’s (or its third-party providers’) infrastructures, interfere with the proper functioning of the Services, bypass security measures, use automated processes to crawl or spider any part of the Services, or harvest content in an unreasonable manner.

3.5 Advertising Integrity:

Not remove, modify, disable, block, obscure, or impair any advertising or promotions associated with the Services.

3.6 Information Collection:

Not use the Services to collect information (whether personal or not) of any third party in violation of our Privacy Policy.

3.7 Approved Advertising:

Not advertise or promote products or services unless expressly approved in advance in writing by Hookdeck or as permitted by these TOU.

3.8 Interference with Third Parties:

Not interfere with any third party’s use or enjoyment of the Services.

3.9 Lawful Conduct:

Not engage in any activity that would constitute a criminal offense, give rise to civil liability, or be unlawful, illegal, fraudulent, or harmful to any third party.

3.10 Prohibited Actions:

Not attempt or encourage any actions prohibited in the aforementioned clauses.

3.11 Good Faith Usage:

Use the Services in good faith and in compliance with all applicable local, provincial or state, national, and international laws.

By adhering to these guidelines, you contribute to a positive and secure community while ensuring your use of the Services aligns with legal and ethical standards.

‍4. Accounts

4.1 Accounts and Passwords – General Information:

To utilize the Services, you must create an account, a process subject to Hookdeck's approval or rejection at our sole discretion.

To create an account, you need only provide your name and email address. This information may be collectively referred to in the present TOU or the Privacy Policy as "Account Information". By submitting Account Information, you affirm its truth and accuracy. Submitting false or misleading Account Information may result in your banning from the Services, at our discretion.

Upon User account registration, you will be asked to create an 8-character password. It is your responsibility to generate a robust password, resistant to easy discovery by third parties. You are responsible for maintaining password confidentiality and for all activities that occur under your account, whether by you or any third party. You agree to immediately notify us of any unauthorized use of your account or any other breach of security regarding your account. You will be able to change your password at any time.

You can also log in to the Services from your valid Google or GitHub account. By selecting this option on the account page, you will be redirected to either the Google or GitHub log-in page, as applicable. For more information, see the section on General External Links and Services below. Alternatively, log in to the Services using your valid Google or GitHub account. By selecting this option on the account page, you will be redirected accordingly. Refer to the section on General External Links and Services for more details.

For Logged In Users, it is advisable to log out after each session or avoid leaving an unattended logged-in account. Hookdeck and its Representatives disclaim liability for losses or damages, direct or indirect, pecuniary or non-pecuniary, resulting from your failure to log out at the end of the session, an unattended logged-in session, or a third party using the Services with your Account Information and accessing your account through any means, and disclaims any responsibility in this regard.

Hookdeck reserves the right to suspend or terminate your account, at its sole discretion, at any time and for any reason, including violation of the TOU’s letter or spirit, as more fully described below.‍

5. How to Use, Access and Pay for the Services

5.1 Generally:

Upon creating an account, you will be prompted to create your first organization, with the flexibility to create unlimited organizations. Within each organization, customization of your configuration is possible, subject to the limitations of your selected payment plan.

5.2 Payment Plans:

Visit the “Pricing” page on our Website to understand the available payment plans and features. Services can be used indefinitely for free, with limitations outlined in the free plan. Upgrade your payment plan and associated Services at any time.

5.3 Trial:

First-time Users are eligible for a one-time 30-day trial, offering all features of the highest-level payment plan. After the trial, your account will revert to the free plan unless you choose and pay for a specific payment plan.

5.4 New Features:

At Hookdeck’s sole discretion, new features may be released in connection with a specific payment plan. If you're subscribed to a payment plan, you'll automatically access these features. Otherwise, an upgrade is required.

5.5 Technical Support:

Hookdeck offers technical support on a commercially reasonable basis through live chat on the Website, email, or Slack.

5.6 Payment:

After your trial, to select and pay for a specific payment plan, you'll be prompted to make payment using a credit card. This requires entering Credit Card Billing Information, including credit card number, expiry date, CVV, and billing address. All transactions are securely processed via Stripe, subject to their Terms of Use.

5.7 Payment Terms:

with Hookdeck or Stripe on Hookdeck’s behalf charging your credit card at the beginning of each month. Monthly fees for your selected plan and additional fees for webhook events beyond the plan's limits (charged at $5 per 1,000,000 events) may apply.

5.8 Pricing and Taxes:

Prices displayed on the Website are in U.S. dollars and do not include applicable sales taxes, which will be displayed during the checkout process based on your location.

5.9 Downgrading or Canceling Your Payment Plan:

You can downgrade or cancel your payment plan and will continue to be available to you through the end of your current billing period at any time on your account page or by communicating with us. Services corresponding to your payment plan will remain available through the end of your current billing period.

6. Proprietary Rights

6.1 Intellectual Property Rights:

You acknowledge that:

(a) the Services contain proprietary and confidential information that is protected by applicable intellectual property and other laws.

(b) Hookdeck, its Representatives and/or third parties (via license) own all right, title and interest in and to the Services and content that may be presented or accessed through the Services, including, without limitation, all Intellectual Property Rights therein and thereto.

“All rights not specifically granted under these TOU are reserved to Hookdeck and its licensors. “Intellectual Property Rights' ' encompass rights under patent, copyright, trade secret, trademark, unfair competition, and other proprietary laws globally.

You agree not to:

(i) copy, sell, resell, license, distribute, transfer, modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from, the Services, or content that may be presented or accessed through the Services for any purpose, unless otherwise permitted by these TOU or the functionalities of the Services

(ii) take any action to circumvent or defeat the security deployed or enforced by any functionality contained in the Services

(iii) “frame” or “mirror” the Services or the content of the Services on any other server or internet-enabled device.

(iv) remove, obscure, or alter Hookdeck’s or any third party’s copyright notices, trademarks, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Services.

The content, arrangement and layout of the Services, including trademarks, photos, logos, videos, audio, images, text and Computer Code are proprietary to Hookdeck. Unauthorized use may violate civil or criminal laws, including intellectual property laws, leading to appropriate actions by Hookdeck.

This also applies to third-party property used in the Services, including but not limited to third-party Computer Code. Computer Code includes source code, object code, frameworks, CSS, PHP, JavaScript, or similar files, templates, modules, or any similar files, and related documentation.

6.2 Submitted Information:

If you provide suggestions, ideas, or proposals related to Hookdeck or its properties ("Feedback"), Hookdeck will own all rights, title, and interest in the Feedback and may use it without restriction. You irrevocably assign all rights in the Feedback to Hookdeck and waive any moral rights. You agree to assist Hookdeck in documenting, perfecting, and maintaining its rights to the Feedback. Providing Feedback does not entitle you to compensation or reimbursement.

From time to time, Hookdeck may provide links to other websites or services, not covered by these TOU. When accessing third-party resources via these links, you do so at your own risk. Hookdeck offers these links as a convenience and does not take responsibility for your use of those websites, services, or the protection of your privacy on those platforms. We advise reviewing the terms of use and privacy policies of any visited website or service.

Hookdeck makes no claim or warranty regarding the content of linked websites or services, or the products and services offered through them. In no event will Hookdeck be held responsible for:

(1) Your use of linked websites or services.

(2) Any virus, Trojan horse, worm, or similar destructive files obtained through these links.

(3) Damages related to the use or reliance on content, products, or services available on linked websites or services, whether free or for purchase.

(4) Actions of the operators of any linked website or service.

Your interaction with linked resources is solely your responsibility, and Hookdeck disclaims any liability for associated damages, whether direct or indirect, pecuniary or non-pecuniary.

8. Interruption of Service

At times, the Services (or portions thereof) may be briefly unavailable for maintenance or modifications. Although we strive to minimize these interruptions, Hookdeck and its Representatives are not liable for any losses or damages, whether pecuniary or non-pecuniary, resulting from such interruptions. We disclaim any responsibility for any associated impacts on the normal functioning of the Services.

9. Termination of the TOU and Access to the Services

You acknowledge that Hookdeck, at its sole discretion and with or without cause, may block your IP address, revoke your account credentials, or otherwise terminate your access to or use of the Services immediately and without notice, if Hookdeck believes that you have acted inconsistently with the TOU, Privacy Policy, or any other posted policy.

Hookdeck reserves the right, at its sole discretion and at any time, to discontinue providing the Services, or any part thereof, with or without notice. Hookdeck and its Representatives are not liable for any losses or damages, pecuniary or non-pecuniary, resulting from termination of your access or the termination of the Services.

Termination of the Services or your access terminates the TOU between you and Hookdeck. All provisions of these TOU which by their nature should survive termination of these TOU shall survive termination, including, without limitation, the intellectual property provisions, disclaimers, indemnity and limitations of liability.

10. Disclaimer of Warranties

You expressly understand and agree that your use of the Services, the information thereon (whether provided by Hookdeck or third parties) or any activity arising from your use of the Services or the information thereon or the materials downloaded therefrom is at your sole risk. The Services, materials downloaded, or any third party materials, are provided on an "as is" and "as available" basis. You are solely responsible for any damage, loss of data, or financial loss resulting from downloads, streaming, or access of materials through the Services.

While Hookdeck strives for accuracy in information provided by staff, freelance writers, or subcontractors, changes or errors may occur. Hookdeck and its Representatives are not liable for any loss or damage, financial or otherwise, resulting from changes, errors, or omissions in the Services' information, or your reliance on it.

Hookdeck expressly disclaims all warranties, whether express or implied, including:

  • Title and non-infringement.

  • Uninterrupted, error-free, accurate, reliable, and virus-free Services, information, materials, or third-party materials.

  • Implied warranties of merchantability and fitness for a particular purpose.

Hookdeck, its affiliates, and their Representatives do not warrant that:

  • The Services will be secure or available at any specific time or location.

  • Any defects, errors, or omissions will be corrected.

  • Content, whether from Hookdeck or third parties, is free from viruses or harmful components.

  • Results of using the Services or downloaded content will meet your requirements.

Elements on the Services provided by third parties are not the responsibility of Hookdeck.

To the extent permitted by law, all content and operations on the Services are warranted only to the minimum amount legally required.

11. Limitation of Liability

In no event shall Hookdeck, or its Representatives, or licensees be liable for any indirect, special, consequential, exemplary, punitive damages or other damages, or for any losses, damages, liabilities, costs and expenses arising from:

(i) your access, use, misuse or inability to access or use the Services.

(ii) the interruption, suspension or termination of any part of or all the Services.

This applies regardless of the cause of action (contract, warranty, delict, quasi-delict, tort, negligence, strict liability, or any other theory), even if advised of the possibility of such damages. Notwithstanding anything to the contrary in the TOU, our aggregate liability for any claims related to your use of the Services will not exceed the fees you paid to us over a 6-month period.

You expressly understand and agree that Hookdeck, its Representatives, or licensees shall not be liable for direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, goodwill, use, data, or other intangible losses. This limitation applies to any cause of action under legal or equitable theory, including errors, omissions, or failures of performance; interruption, defect, or delay in operation or transmission; computer viruses; and theft, destruction, alteration, or unauthorized access to electronic records.

Some jurisdictions may not allow the limitation or exclusion of liability for incidental or consequential damages, so these exclusions and limitations may not apply to you.

12. Indemnity

You agree to indemnify, defend, and hold harmless Hookdeck and its Representatives, where applicable, from any damages, liabilities, costs, and expenses (including attorneys’ fees), claims, or demands arising out of:

(i) Your use of or connection to the Services, the information thereon, or the information downloaded.

(ii) Your participation in any activities arising from the Services, its information, or downloaded materials.

(iii) Your violation of, or failure to perform your obligations under the TOU or the Privacy Policy.

(iv) Your violation of any rights of a third party.

This indemnity applies notwithstanding any other term of the TOU or any act or failure to act by Hookdeck or its Representatives.

13. Governing Law and Applicable Jurisdiction

These Terms of Use (TOU) and your use of the Services shall be governed by and construed in accordance with the laws of the Province of Québec, Canada and the federal laws of Canada applicable therein, without regard to conflict of law provisions. You agree that any legal action or proceeding between you and Hookdeck shall be brought exclusively in the courts located in the judicial district of Montréal, Canada.

Notwithstanding the foregoing, Hookdeck reserves right to bring action against you in any court of competent jurisdiction in the jurisdiction in which you reside or are located:

(i) to seek injunctive relief against you.

(ii) to obtain a judgment against you where a judgment by the Montréal court will, or may not be, enforced by the jurisdiction in which you reside or are located.

(iii) to enforce in your jurisdiction a judgment obtained against you in the Montréal court.

14. Miscellaneous Provisions

The TOU, in conjunction with the Privacy Policy, constitutes the entire agreement between you and Hookdeck with respect to your use of the Services, superseding any prior agreements.

Hookdeck is not liable for any failure to perform its obligations under the present TOU where such failure results from any cause beyond Hookdeck’s reasonable control, including, but not limited to, mechanical, electronic or communications failure or degradation, or any force majeure event.

If any provision of the TOU or Privacy Policy is found by a court of competent jurisdiction to be invalid, you and Hookdeck nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOU or Privacy Policy, as the case may be, shall remain in full force and effect.

The failure of Hookdeck to exercise or enforce any right or provision of these TOU does not constitute a waiver of such right or provision, which will still be available to Hookdeck.

The section titles in the TOU and Privacy Policy are for convenience only and have no legal or contractual effect.

The parties acknowledge having expressly required that these TOU and the Privacy Policy are to be drawn up in the English language.
